Research Usage Policy Agreement
Guidelines and restrictions for the use of research data, analytics, and reports provided by Satoshi Terminal, ensuring compliance with platform policies, intellectual property laws, and regulatory standards.
1. Acknowledgment of Access Rights
1.1. By accepting this agreement, the user (referred to as "Subscriber") acknowledges that access to research data, analytics, and related materials provided by Satoshi Terminal (referred to as "Platform") is granted on a non-exclusive, non-transferable basis. 1.2. The Subscriber agrees that access to such materials is limited to the Subscriber’s account and may not be extended to unauthorized individuals or entities without explicit written permission from the Platform.
2. Permissible Use
2.1. The Subscriber may use research data solely for:
a. Personal investment decision-making.
b. Internal research and analysis.
c. Academic purposes, provided appropriate attribution is given. 2.2. The Subscriber is prohibited from:
a. Utilizing data for illegal or unethical activities, including but not limited to insider trading, market manipulation, or fraudulent representation.
b. Modifying, decompiling, reverse-engineering, or creating derivative works based on research data or analytics.
3. Attribution Requirements
3.1. Any published material, report, or analysis derived from the Platform’s data must include proper attribution to Satoshi Terminal as the source. 3.2. The Subscriber must refrain from implying endorsement by the Platform in any external publication or presentation.
4. Data Redistribution Restrictions
4.1. Redistribution of data, whether in its original form or as part of an analysis, is strictly prohibited unless prior written consent has been obtained. 4.2. Unauthorized redistribution includes, but is not limited to:
a. Sharing data with third-party vendors or platforms.
b. Publishing data on public forums, websites, or social media.
c. Integrating data into third-party systems without a redistribution license.
5. Compliance with Regulatory Standards
5.1. The Subscriber agrees to adhere to all applicable laws, regulations, and standards, including:
a. Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements.
b. Regulations issued by relevant financial authorities (e.g., SEC, FCA, ESMA). 5.2. The Subscriber must immediately notify the Platform of any suspected misuse of data or breach of this agreement.
6. Data Accuracy and Limitations
6.1. The Subscriber acknowledges that research data and analytics are provided "as-is" without any guarantee of accuracy, completeness, or reliability. 6.2. The Platform is not liable for any decisions, losses, or damages arising from the use of research data or analytics.
7. Intellectual Property Rights
7.1. All research data, reports, and analytics remain the exclusive intellectual property of Satoshi Terminal or its licensors. 7.2. No ownership rights are transferred to the Subscriber under this agreement. 7.3. The Subscriber agrees not to challenge the Platform’s ownership of intellectual property or assist others in doing so.
8. Termination of Access
8.1. The Platform reserves the right to terminate access to research data and analytics without prior notice in the event of:
a. Breach of this agreement.
b. Misuse of data or non-compliance with regulatory standards.
c. Non-payment of subscription fees. 8.2. Upon termination, the Subscriber must cease using and delete all research data obtained through the Platform.
9. Indemnification
9.1. The Subscriber agrees to indemnify and hold harmless Satoshi Terminal, its affiliates, and licensors from any claims, damages, or liabilities arising from:
a. Misuse of research data or analytics.
b. Breach of this agreement.
c. Violations of applicable laws or regulations.
10. Governing Law and Dispute Resolution
10.1. This agreement is governed by the laws of [Insert Jurisdiction]. 10.2. Any disputes arising under this agreement shall be resolved through binding arbitration in accordance with the rules of the [Insert Arbitration Body].
11. Acceptance of Terms
